To reconcile the contraries: discretion of management and owners activity

Abstract

The article identifies the problems associated with the control over management from active owners of company; discusses the features of interaction between the owners (expulsion from company). The article also presents tools by means of that a compromise of interests is achieved, in particular the separation between property (ownership) and control over cash flows, the implementation of preventive measures (granting owners by fiduciary duties, using goal-setting business model).
